Prices & Offers

PRICES
As NORSE mainly deals with commercial customers, the prices on the website are shown exclusive of VAT. Price including VAT appears in brackets. All prices are quoted exclusive of freight, packaging and any handling fees. All prices are daily prices and only valid on the day of the order. NORSE is continuously entitled to make price changes in price lists and offers without notice, if nothing else has been agreed in writing.

OFFER
NORSE makes any offer subject to intermediate sales. Unless otherwise expressly agreed, the offer is only valid for acceptance no later than 30 days after the offer date. NORSE assumes no responsibility for the content of catalogues, brochures and other information of any kind from NORSE’s suppliers.

ORDER CONFIRMATION & ACCEPTANCE
The buyer’s order and order of any kind is binding for NORSE and the buyer upon placing the order. After submitting an order to the seller, the buyer does not have the right to change it or cancel it. If, despite the above, NORSE separately approves a change or cancellation, the buyer is obliged to pay the costs associated with the cancellation or change, including costs for storage and ensuring quality and properties as well as business, as a result of the postponed delivery time. Agreements on changes to or additions to the original agreement are not binding on NORSE, without written confirmation from NORSE.

Documentation & Guidelines

DOCUMENTATION & GUIDELINES
If there are product descriptions and user instructions for the item, these are included with the delivery from NORSE. Furthermore, it will be possible to access relevant product descriptions or user guides on NORSE’s website. If you would like further information or advice from NORSE, this is for guidance only.

PRODUCT SAMPLES
Product samples only show colours, size and quality in general, which is why NORSE is not responsible for any deviations, unless the deviations are significant and for the buyer unpredictably large in relation to the sent product samples.

GUARANTEE
NORSE does not provide an independent guarantee on delivered goods. The buyer agrees to only be able to raise claims in accordance with the supplier’s guarantee for a product directly to the supplier, as NORSE only passes on information about a possible supplier’s guarantee to the buyer.

Payment, Retention of title & Security

PAYMENT, RETENTION OF TITLE AND SECURITY
If the buyer has an account with NORSE, the purchase price is due for payment according to the payment terms applicable to the buyer’s account. The last timely payment date appears in the invoice text. The purchase price is due for payment calculated from the specified delivery time (cf. section on delivery), regardless of whether the buyer’s circumstances mean that the delivery cannot take place as agreed.

If the buyer’s payment(s) do not take place on time, and/or if the conditions for the agreed credit change significantly, NORSE is entitled to withhold all further deliveries to the buyer, regardless of whether the deliveries are interrelated. In the event of the buyer’s payment after the last due date of payment, interest on arrears is attributed to the overdue receivable, incl. VAT according to the Interest Act, unless a different interest rate follows from custom, custom or has been agreed. Accrued interest on arrears and any fees are due for payment immediately and are paid before all other debts in the current payments.

NORSE retains ownership of the goods sold, regardless of whether delivery has taken place, until the entire purchase price and any interest and/or fees have been paid. At any time in connection with or after the conclusion of the agreement, NORSE is entitled to demand from the buyer a satisfactory security for the purchase price, freight costs, the timely payment of interest and other costs. If payment is not made on time, NORSE is entitled to hand over any claim against the buyer to debt collection without notice. The buyer is obliged to pay the collection costs determined by the debt collector. NORSE is entitled to fully or partially transfer claims against the buyer to a third party without separately obtained consent from the buyer.

Returns & Complaints

RETURNS
NORSE does not accept returned goods. If, despite the above, it is separately agreed that NORSE will take back goods, the goods must be unused, in defect-free condition and in original and unbroken packaging. The goods must also be free of dirt etc. Goods, specially produced and/or taken home to the buyer, will however never be returned by NORSE. NORSE credits approved returned goods with deduction of the fee set by NORSE to cover return costs and NORSE sales costs.

COMPLAINTS
According to Danish legislation, all goods are covered by a 12-month right of complaint. The complaint must be raised in a timely manner and quickly after the finding. If the complaint is justified, NORSE can choose to correct errors and defects by repair, exchange or refund depending on the specific situation. Faults due to unsuitable or incorrect storage or use are not covered by the right of complaint. If the complaint is justified, we will refund reasonable shipping costs. The item must be sent free of charge to NORSE in proper packaging and arrive in undamaged condition. The buyer bears the risk in connection with the shipment to NORSE.

Complaints about and responsibility for delay
In the event of a minor delay, NORSE makes subsequent deliveries. In the event of significant delay on NORSE’s part, the buyer is entitled to cancel the purchase. The buyer is not entitled to any compensation or other compensation due to NORSE’s delay. This applies regardless of whether the buyer withdraws or maintains the purchase.

DUTY TO INVESTIGATE
The buyer must immediately upon delivery or receipt and always before the goods are put into use, processed or installed, inspect the delivered goods to ensure that they are free of defects and correct, including color and shade differences that are within the acceptable range. Complaints about defects or misdelivery, including quantity deviations that the buyer has or should have found after inspection, the buyer must report immediately to NORSE and absolutely no later than 5 working days after the delivery of the goods to the buyer in order to be taken into account. The buyer cannot later claim defects that could have been detected during the previous inspection. In the event of errors or deficiencies that have arisen in connection with the transport and which can be immediately ascertained upon delivery, the buyer is obliged to notify the carrier in question and to ensure that the driver notes and acknowledges visible errors and deficiencies on the waybill. Responsibility for defects in the sale item lies with NORSE’s manufacturer or supplier.

Shipping

DELIVERY
NORSE delivers to all of Denmark and abroad we deliver to Sweden, Finland, the Faroe Islands and Greenland at a freight rate applicable at any time. NORSE uses different carriers for the different goods to ensure the best possible freight for the buyer. If a fixed delivery time has been agreed, NORSE has the right to extend the deadline in the following cases:

Force majeure cf. points below

  • In the event of a delay caused by suppliers, carriers or other third parties
  • In the event of a delay due to a credit assessment of the buyer
  • Unusual weather and climate impacts
  • Labor disputes for whatever reason
  • Public order or prohibition that NORSE should not have foreseen when entering into the agreement

If NORSE has made an agreement for delivery to the buyer’s address or another place specified by the buyer, NORSE delivers the package as close to the place of use as a truck can drive at the driver’s discretion without risk of getting stuck or damaging the vehicle or the surroundings. The buyer is obliged to make the necessary personnel available for unloading. If the buyer does not comply with this, NORSE will be entitled, but not obliged, to make delivery with liberating effect at the place of delivery, regardless of whether a representative of the buyer is present. The risk for the item and/or items passes to the buyer at the time of delivery. Delivery is considered correctly delivered when the package is placed at the buyer’s designated location, upon the buyer’s signature and/or upon scanning of the buyer’s power of attorney by the shipping company. The driver’s ticket is considered as documentation for correct delivery. The buyer must pay any costs that result from the buyer not being able to receive the goods at the specified delivery location or if the buyer refuses to receive the goods.

Force Majeure

FORCE MAJEURE
In the event that delivery or defect-free delivery is prevented or delayed by events beyond NORSE’s control, including but not limited to labor disputes, operational disruptions, transport difficulties or other third party failure, including supplier or manufacturer insolvency or the like, NORSE may without liability postpone delivery or completely or partially cancel the buyer’s order at its own discretion by notifying the buyer as soon as possible.

If a fixed delivery time has been agreed, then NORSE has the right to extend the deadline in the following cases (See more under SHIPPING):

LIMITATION OF LIABILITY
NORSE’s liability cannot, regardless of proven negligence, include daily fines, operating loss, loss of profit, loss of time or other indirect loss, whether the liability is based on ordinary compensation rules or on another basis. If NORSE’s supplier or other third party has a responsibility towards NORSE for delays or shortages, then NORSE will be willing, as far as possible, to provide the buyer with transport in NORSE’s claim against the supplier or third party.

Disputes

DISPUTES
Any dispute that may arise between the parties must be settled by arbitration, unless NORSE decides that the dispute must be settled by the ordinary courts. All disputes must be settled in accordance with these sales and delivery conditions for business customers and otherwise according to Danish law. If the case is to be decided by arbitration, the arbitration court must be established according to the rules in §47 of “General Terms and Conditions for Works and Supplies in Building and Construction” (hereinafter AB 18). Opinions and judgments must be established after legal proceedings brought before the ordinary courts. If the case is decided by the ordinary courts, the case must be brought at the venue of NORSE’s head office, regardless of where the buyer lives or stays.
